This Payment and Billing Authorization Agreement (“Agreement”) is entered into by and between Auradon Solutions, LLC (“Auradon”) and the undersigned client organization (“Client”). By signing this Agreement, Client acknowledges and agrees to the following terms:

• Client agrees to provide a valid credit card to be securely maintained on file by Auradon. A current and valid credit card is required as a condition of enrollment and continued access to Auradon’s background screening services.

• Client authorizes Auradon to charge the designated credit card for all fees associated with background checks and related services.

• All fees shall be charged immediately upon completion of each background check report. No further notice shall be required prior to processing such charges.

• Client remains responsible for all fees incurred under its account, regardless of whether an applicant is ultimately hired, promoted, or engaged.

• Auradon reserves the right to suspend or terminate services if payment is declined, reversed, or otherwise uncollectible, or if valid payment information is not maintained on file.

• This Agreement shall remain in effect for the duration of Client’s use of Auradon services and shall survive termination with respect to any fees incurred prior to termination.
