This Service Use Agreement (“Agreement”) is entered into by and between Auradon Solutions, LLC (“Auradon”) and the undersigned client organization (“Client”). By executing this Agreement, Client enrolls with Auradon to obtain background screening services subject to the terms below.
1. Scope of Services
Auradon will provide employment background screening services, including but not limited to criminal record checks, employment and education verifications, motor vehicle records, drug testing coordination, and other consumer reports as requested by Client. Services will be provided in compliance with the Fair Credit Reporting Act (FCRA), applicable state laws, and other relevant regulations.
2. Client Responsibilities
- Client shall provide all legally required FCRA Disclosures and Authorizations to applicants before requesting any background check.
- Client shall comply with federal, state, and local laws regarding the use of consumer reports, including adverse action procedures.
- Client shall ensure that all consumer information provided by Auradon is accessed only by authorized personnel and is used solely for permissible employment purposes.
- Client is solely responsible for safeguarding all reports once delivered; Auradon is not responsible for any breach, misuse, or unauthorized disclosure occurring at Client’s site, systems, or networks.
3. Payment Terms and Authorization
- Client agrees to provide a valid credit card to be maintained securely on file.
- All fees for background checks will be charged immediately upon completion of each report.
- Client authorizes Auradon to process such charges without additional notice.
- Auradon reserves the right to suspend or terminate services if payment is declined, reversed, or otherwise uncollectible.
4. Fees
Current service fees are set forth in Auradon’s pricing schedule, which may be updated from time to time upon written notice to Client. Client shall be responsible for all fees incurred for services ordered under its account, regardless of hiring outcome.
5. Data Security
Auradon shall maintain commercially reasonable safeguards to transmit reports securely to Client. Client acknowledges and agrees it is solely responsible for protecting such reports once accessed or downloaded from Auradon’s systems.
6. Term and Termination
This Agreement shall remain in effect from the Effective Date until terminated by either party with thirty (30) days written notice. Termination shall not relieve Client of responsibility for charges incurred prior to the effective termination date.
7. Limitation of Liability
Auradon shall not be liable for any indirect, incidental, or consequential damages arising from Client’s use or misuse of consumer reports. Auradon’s aggregate liability under this Agreement shall not exceed the total fees paid by Client in the three (3) months preceding the event giving rise to the claim.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.
